商务部等5部门联合印发《关于进一步完善海外综合服务体系的指导意见》

各省、自治区、直辖市及计划单列市人民政府、新疆生产建设兵团，外交部、国家发展改革委、工业和信息化部、司法部、财政部、人力资源社会保障部、交通运输部、商务部、中国人民银行、国务院国资委、海关总署、税务总局、市场监管总局、金融监管总局、国家知识产权局、国家移民局、国家外汇局、中国贸促会、全国工商联：

    当前，我国出海企业规模不断壮大，积极开拓多元化市场，对高质量、专业化海外综合服务需求显著增加。为支持出海企业平稳健康发展，经国务院同意，现就进一步完善海外综合服务体系提出如下意见。

一、总体要求

以习近平新时代中国特色社会主义思想为指导，深入贯彻党的二十大和二十届二中、三中全会精神，完整准确全面贯彻新发展理念，加快构建新发展格局，以构建完善与我国对外投资贸易规模体量及发展态势相匹配的海外综合服务体系为根本任务，以提升出海企业国际竞争力和维护企业海外正当权益为目标，坚持统筹发展和安全，统筹推进服务资源优质供给和高效匹配，打造形成央地联动、区域协同、资源集聚、内外贯通的立体化、全链条海外综合服务生态。

    二、优化完善公共平台与服务

    （一）建设国家层面综合服务平台。统筹外事、法律、财税、金融、经贸、物流、海关、贸促等领域服务资源，将“走出去”公共服务平台升级为国家层面海外综合服务平台，贯穿企业出海全流程、全链条，联通“税路通”、“贸法通”、条约数据库、国家海外知识产权信息服务等平台资源，形成综合服务大平台和专业服务分平台有机结合的“1+N”服务体系。围绕企业出海共性需求，提升平台集成化、综合化、数智化水平。拓展全国境外投资管理和服务网络系统功能。

    （二）提供优质公共产品。引导企业用好对外投资合作国别（地区）指南、国别贸易指南、重点国别（地区）营商环境报告等现有公共产品，创新推出更多时效性强、实用性高的公共产品。围绕出海企业市场开拓、合规经营管理、风险防范应对、知识产权保护、反垄断合规、海外权益维护等，推出更多精细化、针对性培训及交流活动。加强企业出海风险提示，及时提供政策咨询，指导企业维护海外合法权益。

    （三）提升综合服务效率。推广应用电子证照，提升对外投资备案（核准）效率和数字化治理水平。开展常态化沟通交流，完善企业诉求快速响应机制。鼓励支持全国性行业商协会发挥协调作用，利用中国国际进口博览会、中国进出口商品交易会、中国国际投资贸易洽谈会等，帮助企业更加便捷高效对接全球优质服务资源。

三、集成创新地方服务

    （四）升级线上线下服务。指导地方因地制宜加强本地区“线上+线下”服务渠道建设，打造企业出海获取基础性信息的“一站式”窗口。依托地方政务服务中心，持续优化企业对外投资、对外贸易、人员出入境等有关业务办理流程。集聚法律服务、知识产权、财务会计、安全保护、金融服务、人力资源等领域优质专业服务机构，做优做强具有地域特点的服务品牌。

    （五）探索创新服务模式。鼓励有条件的地方依托自由贸易试验区、自由贸易港、国家服务业扩大开放综合示范区等，发挥开放枢纽、总部经济、服务资源等优势，主动对接国际高标准经贸规则，开展首创性、集成式探索，打造出海综合服务港。支持地方以适当形式推介各行业各领域优质服务，帮助企业有效识别、精准匹配出海服务资源。支持京津冀、长三角、粤港澳大湾区等区域优势互补，高效整合优质服务资源，形成协同效应。依托港澳地区在跨境投资贸易、金融、法律等领域优势，拓展经贸合作机制，加强服务机构联动，共同增强服务企业出海能力。

四、延伸健全海外服务

    （六）拓展境外经贸合作区功能。基于平等互利、布局合理、规模适当、循序渐进等原则，支持出海龙头企业参与建设境外经贸合作区（以下简称合作区）。加强与东道国政策沟通，为入区企业发展创造稳定、可预期的营商环境。

    （七）建立海外综合服务站。推动具备条件的境外中资企业商协会、合作区、中资法律服务机构等在重点国别和地区建立海外综合服务站，协助企业解决落地服务需求，为出海企业建设国际营销网络、开拓海外市场提供持续服务。

     五、加强经贸合作保障

    （八）丰富双边合作机制。推动与更多国家和地区签署共建“一带一路”、投资、贸易、税收、社会保障、知识产权保护、司法协助、反垄断等领域双边合作文件，丰富涉企服务制度性保障。更好发挥双边经贸合作机制作用，及时回应企业出海服务诉求。

    （九）营造安全有利环境。加强海外安全风险信息跟踪和发布，指导企业完善风险评估应对，维护我国公民、法人在海外合法权益，为出海企业保驾护航、排忧解难。

    （十）妥善应对投资贸易争议。用好调解、仲裁等多元化争端解决机制，增强应对境外法律纠纷的能力。支持行业组织和企业综合运用法律抗辩和司法诉讼等举措，增强妥善应对贸易摩擦能力。

六、拓展提升专业服务

    （十一）提升法律、财会、咨询等服务水平。提升律师事务所、仲裁机构国际化服务能力，培育国际一流律师事务所和仲裁机构。支持会计师事务所提供会计审计、评估、尽职调查、财务税务顾问等服务，拓展审计鉴证、供应链管理等跨境业务。引导咨询公司为出海企业提供全球发展战略统筹、公司治理、营销设计、品牌推广等服务，助力企业向价值链高端攀升。鼓励法律、财会、咨询机构整合关联行业资源，为企业出海提供系统性解决方案。

    （十二）增强金融机构跨境服务能力。鼓励政策性、商业性金融机构立足职能定位，在业务范围内完善服务产品和服务方式，为企业拓展融资渠道。引导金融机构优化海外布局，为企业提供定制化、“跟随式”服务。鼓励保险机构扩大承保规模和覆盖面，开发适合出海企业需求的险种，积极开展再保险业务。

    （十三）拓展各类专业服务领域。鼓励信息技术等领域服务机构创新服务方式，数字化赋能出海企业。鼓励知识产权、标准检验认证、人力资源等服务机构提升国际化服务能力，积极参与相关国际标准和规则制定，开展国际交流合作。探讨中外执业资格认证对接，提高相关技术人员在国际上的执业资格认可度。支持相关专家智库建设，为企业提供智力支撑。

七、提升出海企业能力

    （十四）增强企业跨国经营能力。加强出海企业国际化经营管理培训，推动了解掌握国际通行规则及商业惯例。引导出海企业科学制定国际化发展战略，深入开展出海投资经营可行性研究，提升全球化运营管理水平。支持出海企业加强跨国经营人才培养，构建具有国际视野和跨文化沟通能力、熟悉国内外法律规则与细分国别市场的专业化队伍。

    （十五）加强国际规则、理念衔接。强化与多边机构合作，促进与经贸领域国际通行规则、规制、管理、标准相通相容。引导企业注重属地化经营，积极履行社会责任，塑造良好国际品牌形象，将企业发展与当地社会发展融合，实现股东、员工、供应商、顾客、东道国政府、当地社区、生态环境共赢和可持续发展。

    （十六）提升海外经营合规水平。鼓励相关服务机构运用线下培训等方式，提升企业海外经营合规意识。统筹推进各类涉外法律服务机构发展，为企业提供全方位合规咨询服务。

    进一步完善海外综合服务体系必须坚持和加强党的全面领导，把党的领导贯彻到工作全过程各方面。各地区、各有关部门要从全局和战略的高度，充分认识进一步完善海外综合服务体系的重要意义，在守牢安全发展红线前提下，充分发挥有关工作机制作用，强化部门协作、内外联动，提升海外综合服务效能，实现出海服务资源优质供给和高效匹配，为出海企业参与国际合作与竞争提供有力支撑。

The Ministry of Commerce and five other departments jointly issued the Guiding Opinions on Further Improving the Overseas Comprehensive Service System

With the approval of the State Council, five departments including the Ministry of Commerce, the Ministry of Foreign Affairs, the National Development and Reform Commission, the Ministry of Industry and Information Technology, and the State owned Assets Supervision and Administration Commission of the State Council recently jointly issued the "Guiding Opinions on Further Improving the Overseas Comprehensive Service System" (hereinafter referred to as the "Guiding Opinions"). The Guiding Opinions thoroughly implement the decisions and deployments of the Party Central Committee and the State Council, and focus on building an overseas comprehensive service system that is compatible with the development of China's foreign investment and trade. It is the first guiding document in the field of overseas comprehensive services in China.

Currently, the scale of China's overseas enterprises continues to grow, actively exploring diversified markets, and the demand for high-quality and specialized overseas comprehensive services has significantly increased. The Guiding Opinions are committed to building an overseas comprehensive service ecosystem that integrates central and local governments, regional coordination, resource aggregation, and internal and external connectivity, providing strong support for overseas enterprises to participate in international cooperation and competition, and safeguard their legitimate rights and interests overseas. It proposes 16 specific measures in 6 aspects. One is to optimize and improve public services. Upgrade the Going Global Public Service Platform to a national level overseas comprehensive service platform, forming an organic combination of comprehensive service platform and professional service sub platform service system. Optimize service functions, improve service efficiency, and launch more high-quality public products. The second is to integrate innovative local services. Guide local authorities to strengthen online and offline services, and create a "one-stop" window for enterprise overseas services; Encourage places with conditions to carry out pioneering and integrated explorations, create comprehensive service ports for going global, and promote high-quality supply and efficient matching of service resources. The third is to extend and improve overseas services. Expand the functions of overseas economic and trade cooperation zones, support leading overseas enterprises to participate in the construction of cooperation zones, and strengthen policy communication with host countries. Establish overseas comprehensive service stations in key countries to provide continuous services for overseas enterprises to build international marketing networks and explore overseas markets. The fourth is to strengthen the guarantee of economic and trade cooperation. Enrich bilateral cooperation mechanisms, create a safe and favorable external environment, and properly respond to investment and trade disputes. The fifth is to expand and enhance professional services. Focusing on the pain points and difficult issues reflected by overseas enterprises, we will promote professional institutions such as legal, financial, accounting, consulting, digital technology, and intellectual property to enhance their overseas service capabilities, innovate products and service methods, and empower overseas enterprises with precision. Sixth, enhance the capabilities of overseas enterprises. Guide enterprises to scientifically formulate international development strategies, strengthen cross-border management training and talent cultivation. Strengthen cooperation with international multilateral institutions, provide compliance consulting services, promote enterprises to familiarize themselves with and master international rules, and enhance the compliance level of overseas operations.

The Guiding Opinions require all regions and relevant departments to fully recognize the importance of further improving the overseas comprehensive service system, strengthen departmental cooperation, internal and external linkage, enhance the efficiency of overseas comprehensive services, achieve high-quality supply and efficient matching of overseas service resources, guide the healthy, safe and orderly development of foreign investment cooperation, and provide strong support for deepening international cooperation in the production and supply chain, while adhering to the red line of safe development.
